1. Agreement
By creating an account, joining a firm workspace, signing in to the client portal, or submitting a public booking, you agree to these Terms and Conditions and to the Privacy Policy. If you do not agree, do not use Dossierly. If you accept on behalf of a consulting firm, you confirm that you have authority to bind that firm. These terms are a contract of adhesion for some users; we have tried to write them in clear language. External documents (including the Privacy Policy and the Firm Data Processing Addendum) are brought to your attention by these terms and by in-product links and checkboxes. A firm administrator accepts the addendum when creating the workspace, or later in Settings. That clickwrap is the written processor contract. A countersigned copy is optional.
2. Who these terms apply to
Yuzu Solutions Inc. operates Dossierly. A “firm” is the consulting organization that holds a workspace. “Staff” are the firm’s users (admins and case managers). A “client” or “guest” is someone who uses a firm’s client portal or public booking page. Clients have a relationship with the firm, not a professional retainer with Yuzu Solutions Inc. Sections that impose professional, indemnity, or payment duties on a “firm” apply to firms and staff acting for them. They do not impose those duties on clients or guests, except the acceptable-use and accuracy rules that apply to everyone.
3. The service
Dossierly is software for practice management: client records, questionnaires, form preparation, document intake, client portal, calendar, and public booking. Yuzu Solutions Inc. provides the software. Features may change. We may add, change, or remove functions with reasonable notice when practical. We do not warrant that a particular form edition, government portal, or third-party API will remain available.
4. No immigration advice or professional relationship
Yuzu Solutions Inc. does not provide immigration advice, representation, or legal services. It is not a member of the College of Immigration and Citizenship Consultants and is not a law firm. It is not affiliated with Immigration, Refugees and Citizenship Canada (IRCC) or the Ministère de l’Immigration, de la Francisation et de l’Intégration (MIFI). Nothing in the software, generated forms, emails, or these terms creates a consultant–client, lawyer–client, or fiduciary relationship with Yuzu Solutions Inc. Staff must review every form and filing before it is used. Yuzu Solutions Inc. does not warrant immigration outcomes or that a government authority will accept a generated form. Clients and guests look only to the firm for professional services. Any claim arising from advice, filings, delays, refusals, or fees is a matter between the client and the firm, except to the extent a mandatory law makes Yuzu Solutions Inc. responsible for its own acts as a software provider.
5. Accounts and credentials
Staff accounts are for people authorized by a firm. You must provide accurate information, keep credentials confidential, and tell the firm promptly if you lose access. The firm is responsible for who it invites and which role it assigns. Clients create a portal password or sign in with Google. That is not a staff account. Guests who book an appointment create a client record in the firm’s workspace. We may suspend an account that we reasonably believe is used without authorization, in breach of these terms, or in a way that risks the security of the service or other users. The firm remains responsible for activity under its staff accounts.
6. Firm responsibilities and instructions
The firm is responsible for its immigration practice, including retainers, advice, College of Immigration and Citizenship Consultants (or bar) duties, and privacy obligations toward its clients (including Québec Law 25 and PIPEDA where those apply). The firm decides what client information to collect and how long to keep it. The firm must obtain valid consent where the law requires it (including express consent for sensitive information), use the product only for lawful professional purposes, configure access so only authorized staff can open files, and complete any privacy impact assessment the law requires of the firm when it adopts this system or communicates information outside Québec. Yuzu Solutions Inc. processes client information as a service provider on the firm’s documented instructions — namely use of the product, the firm’s configuration, the Privacy Policy, and the Firm Data Processing Addendum accepted in-product by a firm administrator. The firm warrants that its instructions are lawful and that it has the authority and consents needed to instruct that processing. Yuzu Solutions Inc. may refuse an instruction that would break the law and will inform the firm.
7. Client and guest use
If you sign in to a firm’s client portal or book through a firm’s page, you are giving information to that firm so it can manage your file or appointment. Yuzu Solutions Inc. hosts and processes that information to operate the product. You are not hiring Yuzu Solutions Inc. You must only submit information you are authorized to provide. Do not share a portal password except as the firm instructs. Booking pages are identified by unguessable tokens; do not post them publicly. Questions about your immigration file, appointment, or the firm’s fees should go to the firm. Optional product analytics are described in the Privacy Policy and are off unless you accept them.
8. Acceptable use
You may not: • Probe, disrupt, or overload the service, or try to bypass security or access controls • Use another person’s account or portal access without authorization • Upload malware or content you do not have the right to share • Use the product to send spam or to mislead IRCC, MIFI, or any government authority • Resell or sublicense the software except as Yuzu Solutions Inc. agrees in writing We may investigate suspected misuse and cooperate with a firm or with law enforcement where the law requires. We may remove or disable content that we reasonably believe is unlawful or threatens the security of the service.
9. Fees
Yuzu Solutions Inc. may charge firms for the software under a separate order, plan, or invoice. If no paid plan is in place, we may still offer access on a trial or early-access basis and may introduce fees with notice to firm administrators. Fees that a guest pays for a consultation are charged by the firm (for example through Square). Yuzu Solutions Inc. is not a party to that engagement and is not the merchant of record for those fees unless a separate writing says so. Refunds and cancellations follow the firm’s cancellation policy shown at booking. Chargebacks and payment disputes for firm-collected fees are between the guest, the firm, and the payment provider.
10. Intellectual property
Yuzu Solutions Inc. and its licensors own Dossierly, including the software, design, and documentation. These terms do not transfer ownership. The firm and its clients keep their rights in the content they submit (questionnaires, documents, notes, and similar). The firm grants Yuzu Solutions Inc. a limited licence to host, process, and display that content solely to provide the service, including through subprocessors. IRCC and MIFI forms remain the property of those authorities. The product helps fill them; it does not replace official instructions.
11. Privacy
Personal information is handled as described in the Privacy Policy. That policy is part of these terms. Primary application data is hosted in Canada. Some subprocessors (hosting compute, email, and Google, Microsoft, Zoom, or Square when used) may process information outside Canada, including the United States, as the Privacy Policy explains. Optional analytics are off until accepted. The firm is the organization responsible for client-file personal information. Yuzu Solutions Inc. is a service provider for that information and is responsible for staff-account information it uses to operate the service.
12. Third-party services
The product may connect to third parties the firm or a staff member enables, including Google sign-in (staff and, when a firm enables it, the client portal), Google Calendar and Meet, Outlook Calendar, Microsoft Teams, Zoom Meetings, transactional email, and payment (Square). Those services have their own terms. Enabling a connection is the firm’s instruction to communicate related personal information to that provider. Yuzu Solutions Inc. is not responsible for a third party’s acts, content, security, or outages, except to the extent the law does not allow that limitation or the outage is caused by Yuzu Solutions Inc.’s own intentional or gross fault.
13. Disclaimers
The service is provided “as is” and “as available,” except for warranties that a mandatory law does not allow us to exclude. We do not warrant that it will be uninterrupted, error-free, or that generated forms are complete, current, or accepted by a government authority. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Québec consumers keep any legal warranty of quality that cannot be waived.
14. Limitation of liability
This section applies to the fullest extent permitted by applicable law. It does not exclude or limit liability for intentional or gross fault (faute intentionnelle or faute lourde), for death or bodily injury where that cannot be excluded, or for any liability that a mandatory law (including the Québec Consumer Protection Act and the Civil Code of Québec) does not allow to be limited. It does not waive statutory damages or regulatory penalties that cannot be waived. Subject to the previous paragraph, Yuzu Solutions Inc. is not liable for lost profits, lost data, business interruption, or indirect, incidental, special, or consequential damages, even if we were told they were possible. Subject to the same paragraph, our total liability arising out of the service is limited to the fees the firm paid us for the software in the twelve months before the claim, or CAD $1,000 if no such fees were paid. Clients and guests: Yuzu Solutions Inc.’s role is hosting software for the firm. Except where a mandatory law provides otherwise, you look to the firm for loss arising from the firm’s services. Consumers keep any mandatory rights that local law does not allow them to waive.
15. Indemnity (firms only)
The firm will defend and indemnify Yuzu Solutions Inc. and its directors, officers, and personnel against claims, damages, and reasonable legal costs arising from: the firm’s use of the service; the firm’s immigration advice, filings, or professional conduct; content the firm or its clients submit; the firm’s failure to obtain a required consent or to perform its duties as the organization responsible for client files; a third-party service the firm or its staff enabled; or the firm’s breach of these terms — except to the extent the claim is caused by Yuzu Solutions Inc.’s intentional or gross fault. This section does not require a client or guest to indemnify Yuzu Solutions Inc.
16. Mandatory consumer and privacy rights
Nothing in these terms takes away rights that a mandatory law grants to a consumer, including under the Québec Consumer Protection Act, or rights that PIPEDA or Québec Law 25 grant to an individual and that cannot be waived. If you are a consumer dealing with a firm through booking or the client portal, the firm’s own cancellation, refund, and professional rules apply to that engagement. These terms do not make Yuzu Solutions Inc. the seller of the consultation.
17. Suspension and termination
A firm may stop using the service and may request deletion of workspace data as described in the Privacy Policy, subject to professional retention rules and backup cycles. The firm should export files it must keep before asking for deletion. We may suspend or end access if fees are unpaid (when a paid plan applies), if these terms are breached, if we reasonably believe continued access threatens the security of the service or others, or if we discontinue the product. We will give firm administrators reasonable notice when practical, except where immediate action is needed for security or law. Provisions that should survive (including intellectual property, disclaimers, liability limits, indemnity, privacy, and governing law) survive termination.
18. Changes to these terms
We may update these terms to reflect product, legal, or security changes. The “Last updated” date will change when we do. Material changes will be highlighted in-product or by notice to firm administrators when practical. Continued use after the effective date is acceptance of the updated terms, except where the law requires a new consent or forbids treating silence as acceptance. We will not use a change clause to impose an obligation that a mandatory consumer law forbids.
19. Governing law
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, without regard to conflict-of-law rules that would refer to another law. The courts of Québec, district of Montréal, have exclusive jurisdiction over disputes between a firm (or its staff) and Yuzu Solutions Inc. about the service, except that we may seek injunctive or equivalent relief in any competent court to protect the service or intellectual property. Consumers keep any mandatory local forum or rights that cannot be waived, including in Québec.
20. Language
These terms and the Privacy Policy are available in French and English (and Spanish for convenience). If you use the French interface, the French version is the one presented to you. For a consumer in Québec, if there is a conflict between language versions, the French version prevails. Firms that choose the English interface request the English version for their workspace; both versions are intended to have the same meaning.
21. Severability and entire agreement
If a court finds a part of these terms unenforceable, the rest remains in force. These terms, the Privacy Policy, the Firm Data Processing Addendum accepted for the workspace, and any order form are the entire agreement between you and Yuzu Solutions Inc. about the software. They do not change the firm’s separate retainer with its clients.
